Terms of Service
These Terms of Service ("Terms") govern your access to and use of the Inori certificate of insurance compliance platform (the "Service") provided by Inori ("Inori," "we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms.
Account Terms
You must provide accurate and complete information when creating an account. You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account. You must notify us immediately if you become aware of any unauthorized use.
You must be at least 18 years old and have the authority to bind your organization to these Terms. One person or organization may not maintain more than one free account.
Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose or in violation of any applicable law.
- Upload malicious files, viruses, or harmful code.
- Attempt to gain unauthorized access to other users' accounts or data.
- Interfere with or disrupt the Service's infrastructure.
- Reverse engineer, decompile, or disassemble any part of the Service.
- Use the Service to store or transmit data that you do not have the right to use.
- Resell or redistribute access to the Service without our written consent.
Intellectual Property
The Service, including its design, code, documentation, and branding, is owned by Inori and protected by intellectual property laws. Your use of the Service does not grant you ownership of any intellectual property.
You retain all rights to the data you upload to the Service, including certificates and vendor information. You grant Inori a limited license to process this data solely to provide the Service.
Payment Terms
Paid plans are billed in advance on a monthly or annual basis. All fees are non-refundable except as required by law. Refund requests may be considered on a case-by-case basis within the first 14 days of a new subscription. We may change pricing with 30 days' notice. Failure to pay may result in suspension or termination of your account.
Termination
You may cancel your account at any time from Settings. We may suspend or terminate your account if you violate these Terms or if your account is inactive for more than 12 months.
Upon termination, you have 30 days to export your data. After that period, we may delete your data in accordance with our retention policy.
Limitation of Liability
To the maximum extent permitted by law, Inori shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenue, arising out of or related to your use of the Service.
Our total liability for any claim arising from these Terms or the Service shall not exceed the amount you paid us in the 12 months preceding the claim.
Disclaimer of Warranties
The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied. Inori does not warrant that the Service will be uninterrupted, error-free, or that AI analysis results will be 100% accurate. The Service does not constitute legal or insurance advice.
AI-Powered Analysis

Inori uses artificial intelligence to extract and analyze information from insurance certificates. While we maintain greater than 95% accuracy on standard ACORD 25 certificate forms, you acknowledge and agree that:
- AI analysis results are informational only and do not constitute insurance, legal, or professional advice
- Inori does not sell, solicit, negotiate, or recommend insurance policies or coverage levels
- Inori does not act as an insurance consultant, broker, or agent
- Low-quality scans, handwritten forms, or non-standard certificate formats may produce reduced accuracy
- Results should be verified against source documents before making binding compliance decisions
- Inori is not responsible for compliance decisions made based on AI-generated analysis
- Confidence scores and gap assessments reflect AI interpretation, not professional judgment
You agree to implement reasonable review processes within your organization before acting on AI-generated compliance determinations.
Indemnification
You agree to indemnify, defend, and hold harmless Inori, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or related to:
(a) Your use of the Service or reliance on AI-generated compliance results; (b) Your violation of these Terms or any applicable law or regulation; (c) Compliance determinations you make based on Service output; (d) Any third-party claims arising from your use of the Service, including claims from vendors, contractors, or their insurance providers; (e) Your failure to verify AI-generated results before making binding decisions.
Governing Law
These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict of laws provisions. Any disputes arising from these Terms shall be resolved in the state or federal courts located in Delaware.
Changes to These Terms
We may update these Terms from time to time. We will notify you of material changes at least 30 days before they take effect. Continued use of the Service after changes take effect constitutes acceptance.
